These Terms of Use ("Terms") govern your access to and use of UNISTASH mobile app ("App") provided by TLC - LUMOS COMPANY, INC. ("LUMOS" "we" "us" or "our").

By using the App, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, please do not use the App.

Services

Our App allows you to transfer certain data between devices by using NFC tags purchased or otherwise obtained by you.

Please be aware that our App exclusively supports three types of NFC tags: NTAG 213, NTAG 215, and NTAG 216. The use of NFC tags other than those specified may result in malfunctions of the application and jeopardize the security of your data. Consequently, we cannot guarantee the proper operation of the application or the integrity and security of your information when utilizing alternative NFC types.

In our app, NFC tags store encrypted backup copies of the Recovery Phrase.

Through the App, you have the capability to share and exchange certain information with others, with the condition that such exchanges occur within a range of about 10 cm.

Notwithstanding mentioned above, we do not use, keep or store the NFC tags. The App's primary purpose is to facilitate the reading and writing functions of NFC tags for data transfer, and we do not use or retain the NFC tags beyond the scope of these functions.

General Terms of Use

In utilizing the Services, you agree to these Terms of Use and express your consent to the terms and conditions of use of the Services, as well as accept all policies and other documentation posted in the App, which are essential and integral parts of these Terms of Use and which will be legally binding for you.

Please carefully read our Frequently Asked Questions section before using the Services. Your utilization of the Services implies your acknowledgment of the FAQ section.

If you do not agree with any of the provisions outlined in these Terms of Use, you commit to refraining from using the Services.

User Registration

There is no need to register an account in the App to access the features of the App.

Limitation of Liability

To the maximum extent not prohibited by law, TLC - LUMOS COMPANY, INC. shall not be liable for damages of any type, whether direct or indirect, arising out of or in any way related to your use or inability to use the services.

You are encouraged to exercise caution and take appropriate measures to secure your NFC tags, as the App does not provide storage solutions or mechanisms for the safeguarding of NFC tags.

Any loss, damage, or unauthorized use of NFC tags, including the term and means of storage, is the sole responsibility of the user. We explicitly disclaim liability for any associated consequences arising from such events. Users are advised to exercise due diligence in securing, storing, and managing their NFC tags, as we do not assume any responsibility for the safekeeping or preservation of these physical items.

By using the App and engaging with NFC tags, you acknowledge and agree that the responsibility for the storage, security, and maintenance of NFC tags rests entirely with you, and we bear no responsibility for such matters.

User Conduct

You agree to use the App only for lawful purposes and in accordance with these Terms. You will not engage in any conduct that could harm the App, its users, or third parties.

Privacy Policy

Your use of the App is also governed by our Privacy Policy, which can be found at link. Please review the Privacy Policy to understand how we collect, use, and disclose information.

Intellectual Property

All content and materials available in the App, including but not limited to text, graphics, logos, button icons, images, audio clips, data compilations, and software, are the property of LUMOS or our licensors and are protected by copyright and other intellectual property laws.

Termination

We reserve the right to terminate or suspend your account and access to the App at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the App, to us, or to third parties.

Changes to Terms

We may update and amend these Terms of Use by publishing the relevant Terms of Use on the Site.

These Terms of Use may be amended by us without any special notice, the new version of the Terms of Use comes into force from the moment it is posted in the App, unless otherwise provided by new version of the Terms of Use.

You are obliged to regularly check the terms of this document for changes and/or additions. Your use of the Services after making changes and/or additions to this document means acceptance and consent with such changes and/or additions.

Governing law and Dispute resolution

These Terms of Use and any action related thereto will be governed by the laws of the state of California in the United States, without regard to its conflict of law’s provisions. If you are a user located in the United States or Canada, the terms in the "Special Arbitration Provision for United States or Canada Users" section below apply to you.

You and TLC - LUMOS COMPANY, INC hereby agree that any dispute arising out of or in connection with these Terms of Use, including any issue relating to its existence, validity, breach, or termination, shall be settled through negotiations. We kindly ask that you first contact us to give us an opportunity to address any concerns.

In case the dispute is not resolved through negotiations within 60 (sixty) days, You and TLC - LUMOS COMPANY agree that any controversy or claim arising out of or relating to these Terms of Use, or the breach thereof, shall be finally settled by arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

The number of arbitrators shall be one.

The seat, or legal place, of arbitration shall be the United States.

The language to be used in the arbitral proceedings shall be English.
